Article 1. General Provisions
1.1 These general terms and conditions apply to all offers, agreements, and all related actions regarding the sale and delivery of products via the WWBD Group | VANI-T website to you, the customer. Your terms and conditions are explicitly rejected.
1.2 Acceptance of offers or placing orders on the WWBD Group | VANI-T website signifies acceptance of the applicability of these general terms and conditions.
1.3 If any provision in these terms and conditions is null or voided, the remaining provisions will remain in effect.
1.4 Deviations or additions to these terms and conditions are only valid if agreed upon in writing.
Article 2. When is there an agreement?
2.1 All offers from WWBD Group | VANI-T are without obligation and valid for 14 days, unless otherwise stated in the agreement.
2.2 When you place a request or order and it is confirmed in writing by WWBD Group | VANI-T, the agreement is concluded.
2.3 If a modification to the agreement leads to higher costs, WWBD Group | VANI-T may charge these costs to you.
2.4 You cannot derive any rights from previous offers or promotional materials issued by WWBD Group | VANI-T.
Article 3. How does delivery proceed?
3.1 WWBD Group | VANI-T will perform each obligation as agreed upon in writing and may use third parties for this purpose.
3.2 The agreed delivery time is not a strict deadline. The timeframes are approximate and based on information and circumstances known to WWBD Group | VANI-T when the agreement was made.
3.3 If you have not fulfilled all (payment) obligations related to this agreement, WWBD Group | VANI-T is entitled to postpone delivery until you have met all obligations.
3.4 Delivered goods remain the property of WWBD Group | VANI-T until you have fulfilled all obligations under the agreement.
Article 4. What can you expect from WWBD Group | VANI-T?
4.1 WWBD Group | VANI-T will act in your best interests to the best of its ability.
4.2 WWBD Group | VANI-T will keep you informed about the progress of the work if you request this.
4.3 If you report in a timely manner that delivered goods do not comply with the agreement, WWBD Group | VANI-T will perform necessary repairs or provide a replacement product as soon as possible.
4.4 WWBD Group | VANI-T will treat all your data confidentially, as far as it is aware that such data is confidential.
Article 5. What are your obligations?
5.1 You must provide all data that WWBD Group | VANI-T needs to properly perform its work on time and in full. You guarantee the accuracy of this data.
5.2 You are obliged to inspect and check delivered goods immediately upon receipt. Any objections, defects, or faults must be reported to WWBD Group | VANI-T in writing immediately or, in the case of distance consumer purchases, within the reflection period mentioned in article 7.1. Without such notification, the goods are deemed delivered without damage, defects, or faults, and WWBD Group | VANI-T is deemed to have performed in accordance with the agreement.
5.3 Complaints concerning non-visible defects and/or faults must be reported in writing immediately after discovery to enable WWBD Group | VANI-T to investigate and, if necessary, carry out repairs. The choice to repair or replace the product lies with WWBD Group | VANI-T.
5.4 If delay occurs in performing the agreement that is attributable to you, all resulting costs and damages will be your responsibility and risk. Shipping costs related to product complaints will also be charged to you.
5.5 All instructions on packaging and leaflets must be followed. WWBD Group | VANI-T cannot be held liable for damage resulting from improper use of the product.
Article 6. How do you pay for WWBD Group | VANI-T products?
6.1 You pay by means of an online payment transaction.
6.2 You do not have the authority to settle claims.
6.3 If you do not pay within the agreed term, you owe interest immediately after the invoice due date. This interest equals the statutory interest. You must also pay all (extrajudicial) collection costs of WWBD Group | VANI-T, calculated based on the Dutch Extrajudicial Collection Costs Decree. If WWBD Group | VANI-T incurs higher costs, these may be charged to you.
6.4 WWBD Group | VANI-T is authorized to amend payment terms if it believes your financial position, payment behavior, or the nature of the relationship warrants it.
6.5 When paying by credit card, credit card details will be verified before payment is processed. Products will only be shipped to the address provided as the credit card holder’s address.
Article 7. When and how does the agreement end?
7.1 As a consumer, you have the right to dissolve the agreement within 14 days after receiving the product, without giving reasons (right of withdrawal). To exercise this right, you must notify WWBD Group | VANI-T in writing within the reflection period or by filling out the model withdrawal form available on the website.
7.2 During the reflection period, you must handle the product and packaging carefully and may only inspect the product as you would in a physical store. If your handling diminishes the product’s value, you must compensate WWBD Group | VANI-T for this depreciation.
7.3 If you dissolve the agreement within the 14-day reflection period, you must return the product(s) to WWBD Group | VANI-T as soon as possible, but no later than 14 days after the day of withdrawal. This must be done in the original, undamaged packaging. Opened or damaged packaging will not be accepted. Opening the packaging indicates you wish to keep the product.
7.4 If you have exercised your right of withdrawal and WWBD Group | VANI-T has received the returned product(s), WWBD Group | VANI-T will refund your payments using the same payment method.
7.5 The following products are excluded from the reflection period:
• Products made according to your specifications;
• Products clearly personal in nature;
• Products that cannot be returned due to their nature;
• Products that spoil or expire quickly;
• Products with prices subject to fluctuations on the financial market beyond the entrepreneur’s control;
• Loose newspapers and magazines;
• Audio, video recordings, and computer software with broken seals;
• Hygiene products with broken seals;
• Products with obviously damaged packaging or no longer in their original packaging.
7.6 If you terminate the agreement for reasons attributable to you or cancel the agreement outside your right of withdrawal, you are obliged to compensate WWBD Group | VANI-T for all costs and financial consequences (e.g., lost profits) due to non-performance.
7.7 WWBD Group | VANI-T may suspend or dissolve the agreement wholly or partially immediately, without prior notice, when:
7.8 In such cases, WWBD Group | VANI-T is not liable to pay damages to you and may claim damages and/or payment itself.
7.9 In all above cases, all claims of WWBD Group | VANI-T on you become immediately due, and you are obliged to return the delivered goods immediately.
Article 8. How do you use the website and My Account?
8.1 All prices and rates mentioned on the website and mailings of WWBD Group | VANI-T are exclusive of VAT and subject to price changes, programming errors, and typing mistakes.
8.2 Product images may not always correspond to the actual appearance of delivered products. In particular, changes may occur to the appearance and packaging after manufacturer assortment updates. You cannot file complaints about defects if they relate to the above product changes.
8.3 All intellectual property rights, including but not limited to copyrights, trademarks, and database rights on information, texts, images, logos, photos, and illustrations on the website and its layout/design belong to WWBD Group | VANI-T and/or its licensors. You must refrain from any infringement, including making copies of the website other than technical copies necessary for use.
8.4 The information on the website is composed and maintained by WWBD Group | VANI-T with continuous care, but errors cannot always be avoided. No rights can be derived from the information provided. WWBD Group | VANI-T accepts no liability for damage resulting from use of the website, incompleteness or inaccuracies of the information, or from temporary unavailability of the website.
8.5 WWBD Group | VANI-T is not responsible for photos, descriptions, and other promotional materials published by third parties on the website.
8.6 When you request an account with WWBD Group | VANI-T, you will receive a username and password after approval. These details are strictly confidential and for your own use only.
8.7 By requesting an account, you guarantee that you are authorized to place orders.
Article 9. Force Majeure
9.1 Force majeure means circumstances due to which WWBD Group | VANI-T cannot timely or properly fulfill its services, without this being the fault of WWBD Group | VANI-T. Examples of force majeure include: fire, theft, molestation, riots, strikes, company occupations, operational disruptions, war, severe weather, situations of actual inaccessibility of work, changes in regulations, and failure of suppliers to perform.
9.2 In case of force majeure, WWBD Group | VANI-T may suspend the execution of the agreement or (partially) dissolve the agreement without being obliged to pay any compensation to you.
Article 10. Liability
10.1 You must notify WWBD Group | VANI-T in writing of any changes in address or other personal details at least fourteen (14) days before the change takes effect. All consequences arising from failure to timely notify (address) changes shall be entirely at your risk and expense.
10.2 WWBD Group | VANI-T provides its services to the best of its knowledge and ability. However, WWBD Group | VANI-T cannot guarantee that a desired result will be achieved at a certain time.
10.3 If WWBD Group | VANI-T is liable, such liability is limited to the amount paid out by WWBD Group | VANI-T’s business liability insurance regarding the damage. If the maximum insured amount is higher than the amount of the assignment, WWBD Group | VANI-T’s liability is limited to the amount of the assignment related to the delivered services.
10.4 If you are held liable by a third party for damages, you may not pass on this claim to WWBD Group | VANI-T.
Article 11. Complaints and Disputes
11.1 Are you not satisfied with our services? We appreciate it if you inform us first so we can seriously address your complaint. To ensure proper handling, complaints must be submitted to WWBD Group | VANI-T within two months after you became aware of the issue.
11.2 If a dispute arises, you must submit it to the competent court in Oost-Brabant. The right to bring a dispute to court expires one year after the cause of the dispute occurred.
Article 12. Applicable Law
All agreements, these general terms and conditions, and actions arising therefrom are governed by Dutch law.
